The majority of the full membership of the Board of Directors constitutes a quorum and must be present for the transaction of business; either in person or telephonically.
An affirmative vote of those present and voting shall be sufficient to pass any motion or take any action unless the law or board policy requires the vote of a greater number in a particular case. A quorum need not be present to adjourn a meeting.
The affirmative vote of two-thirds of the entire membership of the board or the affirmative vote of all members present at a meeting where a quorum, but not the entire board is present, is required before the board can go into closed session
